1. Introduction and Acceptance

1.1. These Terms of Service (the “Terms” or this “Agreement”) govern your access to and use of the Platform and the Services (each as defined below) operated and made available under the Routeon brand (“Routeon”, “we”, “us” or “our”). This Agreement incorporates: (i) the terms and conditions set out below (including, without limitation, the Schedules below); (ii) the Acceptable Use Policy and any Guidelines; (iii) the rates, pricing and coverage list agreed between the parties from time to time; and (iv) any Service Schedule, service order or Insertion Order agreed by the parties.

1.2. By registering an account through the registration or referral link provided to you, accessing the Routeon Portal or Dashboard, or using any part of the Services (“Agreement Acceptance”), you agree to be bound by this Agreement. If you are accepting these Terms on behalf of an entity, you represent and warrant that you have the authority to bind that entity, in which case “you”, “Client”, “your”, or “Customer” refers to that entity.

1.3. Multi-Service Structure: Routeon offers a set of business communication and link management products, including but not limited to:

  • SMS Services: International A2P messaging, OTP, SMS routing, transit, and related communication services; and
  • Shortlink & Analytics Services: URL shortening, custom-branded links, link management, smart link routing, QR codes, link-in-bio, and associated traffic analytics.
  • Email Services: Transactional and bulk email routing and transmission, domain authentication support, delivery reporting, and email campaign analytics.

1.4. Applicability Rules Based on Your Registration & Account Access:

To reflect the specific services granted to you upon account creation or portal access, the terms of this Agreement apply to you as follows:

(a) If you register for or access the RouteonSMS Services:

Section 1 to Section 14 apply to you in full;

Data Processing Terms apply to your processing of Recipient mobile data;

Schedule A (Acceptable Use Policy) applies to all message content, Sender IDs, and routing traffic;

Schedule B does not apply to your account unless you subsequently activate Shortlink & Analytics Services.

(b) If you register for or access the RouteonShortlink & Analytics Services:

Section 1 to Section 14 apply to you in full;

Schedule A (Acceptable Use Policy) applies to all shortened links, custom domains, QR codes, and redirected target content;

Schedule B (Shortlink & Analytics Services Special Conditions) applies specifically to your use of custom domains, Smart Routing rules, and destination link audits;

Data Processing Terms apply to click-analytics data collected from end users visiting your links;

SMS-specific routing provisions do not apply to your account unless you subsequently activate SMS Services.

(c) If you register for or access the Email Services:

Section 1 to Section 14 apply to you in full;

Data Processing Terms apply to your processing of recipient email addresses and interaction data;

Schedule A applies in full, including anti-spam rules, mandatory opt-in/unsubscribe requirements, SPF/DKIM/DMARC domain authentication, and complaint/bounce rate thresholds;

SMS-specific routing and Shortlink-specific provisions do not apply to your account unless you subsequently activate those Services.

(d) If you register for or access Multiple Modules or a Unified Account:

The entire Agreement, including Sections 1–14, Data Processing Terms, Schedule A, and Schedule B, applies to you in full across all your activities, sub-accounts, SMS campaigns, and link management tools.

1.5. The Client acknowledges that it may act as a reseller or intermediary transmitting traffic or links on behalf of, or reselling the Services to, its own customers. Accordingly, the Client accepts full responsibility for all traffic, links, redirected content, Sub-Accounts, and end users associated with its account.

1.6. Contact and Legal Notifications: For any operational, support, or legal questions regarding the Services or this Agreement, please contact us at support@routeon.io.

1.7. Routeon may from time to time make Other Services available to the Client. Where the Client activates any Other Service, special terms applicable specifically to that Other Service will be set out in a dedicated Schedule or service-specific terms made available to the Client through the Portal or other communication channels used by Routeon (“Other Service Terms”). Except as expressly modified by the applicable Other Service Terms, the general provisions of this Agreement (Sections 1 to 14) shall apply in full to the Client’s use of any Other Service and shall remain binding on the Client, including in respect of Other Services introduced after the date the Client accepted this Agreement.

2. Definitions and Interpretation

2.1. Capitalised expressions shall have the following meanings:

  • “Acceptable Use Policy” or “AUP” means the acceptable use policy set out in Schedule A, as amended by Routeon from time to time.
  • “Agreement” means these Terms of Service, together with the Schedules, the AUP, the Guidelines, and any agreed orders or appendices.
  • “Applicable Laws” means all applicable laws, directives, regulations, marketing guidelines, mandatory codes of practice, rules, and regulatory/sanctions standards imposed by relevant authorities.
  • “Artificially Inflated Traffic” or “AIT” means traffic fraudulently or artificially generated, inflated or manipulated (including bots, SIM farms, SMS pumping, or OTP fraud).
  • “Balance” means the amount paid by the Client to Routeon in advance, less the value of Services used and any owed amounts.
  • “Bulk SMS” means application-to-person (A2P) messaging for transactional, promotional, or verification purposes sent to Recipients.
  • “Client”, “Customer”, “you” or “your” means the person or entity registering for and/or using the Services.
  • “Client Content” means information, text messages, Sender IDs, URLs, destination links, custom domains, QR code graphics, or other digital materials provided by or on behalf of the Client.
  • “Dashboard” / “Portal” means the Routeon account interface made available to the Client to manage or monitor Services, traffic, stats, Sender IDs, shortened links, sub-accounts, and settings.
  • “Destination URL” means the target website or digital location to which a shortened link created via the Shortlink & Analytics Services redirects.
  • “End Client” means any customer, sub-reseller, or third party on whose behalf the Client transmits traffic, creates links, or to whom the Client resells the Services.
  • “Fraud” means any act involving deception, misrepresentation, or unauthorized activity by the Client, its End Clients, or any third party in connection with the Services, including Artificially Inflated Traffic (AIT), use of unauthorized or stolen payment methods or credentials, phishing or smishing schemes, and any other attempt to obtain Services, Balance, or payment without right.
  • “Grey Route” means any route or delivery method that circumvents official A2P termination terms, operator policies, or legal requirements.
  • “Network Operator” means any licensed mobile network operator offering telecommunications services.
  • “Other Services” means any additional communication channel, product, or module (including without limitation messaging channels such as WhatsApp or other over-the-top platforms) that Routeon may make available under the Routeon brand from time to time, beyond the SMS Services, Shortlink & Analytics Services, and Email Services described in Section 1.2.
  • “Platform” means the technical infrastructure, software, routing systems, link-redirection engines, and web interfaces operated under the Routeon brand.
  • “Prohibited Territory” means any jurisdiction, network, or destination that is subject to comprehensive sanctions, or which Routeon notifies the Client is prohibited.
  • “Recipient” / “End User” means any end recipient of SMS messages or any internet user clicking/interacting with short links or QR codes created via the Services.
  • “Sanctions” means economic, trade, or financial sanctions administered or enforced by competent international or governmental authorities.
  • “Sender ID” means the alphanumeric header identifying the sender of an SMS message.
  • “Services” means the messaging routing and transmission services (SMS Services) and/or the URL shortening, link management, smart routing, and analytics services (Shortlink & Analytics Services) provided under the Routeon brand.
  • “Smart Routing” means automated link redirection rules configured based on recipient criteria such as operating system, country, device type, or language.
  • “Sub-Account” means any sub-account created under the Client’s account for traffic or link segmentation or End Clients.

3. Account Registration, Onboarding and KYC

3.1. To use the Services, the Client must complete registration via the link provided by Routeon and maintain accurate account details.

3.2. Routeon applies verification and KYC/KYB procedures. The Client is solely responsible for the accuracy and completeness of all provided documentation and information.

3.3. Routeon reserves the right, in its sole discretion, to approve or reject any account registration or request for access.

3.4. Routeon may request additional compliance documentation at any time (including proof of incorporation, identity, authorization for Sender IDs, domain ownership proof, or traffic/link source details).

3.5. The Client is responsible for maintaining the confidentiality of its credentials for the Routeon Dashboard/Portal and is fully liable for all activities, charges, traffic, and links generated under its account and Sub-Accounts.

3.6. Account Access Credentials & Authentication:

Following registration and approval, access to the Platform, Dashboard, or any specific Service Module (whether for SMS Services, Shortlink & Analytics Services, or Email Services) is authenticated using unique access credentials (username/login and password) issued directly to the Client by Routeon. The Client acknowledges and agrees that:

(a) credentials are assigned by Routeon to provide access to the respective Platform and monitor account activity;

(b) the Client is solely responsible for maintaining the strict confidentiality and security of its login details and passwords;

(c) the Client shall be fully and strictly liable for all activities, messages, emails, shortened links, sub-accounts, and financial obligations incurred under its access credentials, whether authorized by the Client or not; and

(d) the Client must notify Routeon immediately at support@routeon.io if it suspects any unauthorized access or breach of security regarding its account.

3.7. The Client represents, warrants, and undertakes on an ongoing basis that: (a) all funds used to pay for the Services are derived from legitimate sources and are not connected, directly or indirectly, to money laundering, terrorist financing, corruption, fraud, or any other unlawful activity; (b) it is not, and is not owned or controlled by, and does not act on behalf of, any person or entity that is the subject of Sanctions or listed on any applicable denied-party, sanctions, or watch list; and (c) it will promptly notify Routeon if any of the foregoing representations ceases to be true. Routeon may request supporting documentation evidencing the source of funds at any time.

3.8. Where an account is registered on behalf of a legal entity, the individual completing the registration represents and warrants that: (a) they have full corporate authority to bind that entity to this Agreement; (b) all information and documentation submitted on behalf of the entity, including corporate details, identity, and ownership information, is true, complete, and accurate; and (c) they are duly authorized by the entity to submit such information and to act on its behalf in connection with the Services.

4. Duties and Responsibilities of the Parties

4.1. The Client shall independently collect Recipient contact lists and ensure all Destination URLs comply with Applicable Laws and opt-in requirements.

4.2. Where destinations require Sender ID registration, template approval, or domain verification, the Client is solely responsible for completing all required registrations prior to initiating traffic or deploying links.

4.3. The Client shall not use any Sender ID, brand, trademark, or domain name unless it holds explicit legal authorization and intellectual property rights to do so.

4.4. The Client shall ensure that its account, Sub-Accounts, SMS traffic, and short links are used in strict compliance with Applicable Laws, Network Operator rules, and the AUP (Schedule A).

4.5. Routeon shall exercise reasonable efforts to ensure continuous service availability, but does not guarantee uninterrupted delivery or link redirection, as performance depends on internet routing, third-party browsers, and telecommunications networks.

5. Fees, Charges and Payment

5.1. SMS Billing: SMS Services are charged on a per-message basis according to agreed rate sheets. Messages sent through the Platform are billable regardless of final delivery status where non-delivery is outside Routeon’s control.

5.2. Shortlink Subscription / Usage Billing: Shortlink & Analytics Services may be billed on a recurring subscription basis or tiered usage model (e.g., based on link creation volume or click volume) as displayed on the Portal or agreed in an Insertion Order.

5.3. Email Billing: Email Services are charged on a per-email basis according to agreed rate sheets or prevailing rates published in the Dashboard. Emails sent through the Platform are billable regardless of final delivery status, inbox placement, or recipient filtering where non-delivery is outside Routeon’s control.

5.4. Prepaid Balance & Suspensions: Unless otherwise agreed in writing, Services are provided on a prepaid basis. Routeon reserves the right to suspend SMS routing or disable short link redirections immediately if the prepaid Balance is depleted.

5.5. Offsets: Routeon may deduct from the Balance any fees, taxes, operator fines, chargebacks, or damages caused by Fraud or breach of this Agreement.

6. Acceptable Use and Traffic Quality

6.1. The Client assumes full responsibility for all Client Content, message text, Destination URLs, and redirected web content deployed through its account or Sub-Accounts.

6.2. The Client warrants that all marketing communications have obtained valid opt-in consent and that all shortened links lead to safe, lawful, non-phishing web destinations.

6.3. The Client shall strictly comply with the Acceptable Use Policy (Schedule A).

6.4. To ensure platform stability, prevent abuse, and maintain a high quality of service, Routeon reserves the right, at its sole discretion, to impose technical limits and volume quotas on the Client’s use of the Services. These may include, but are not limited to, restrictions on the number of API requests per second (rate limits), maximum daily or hourly sending volumes for SMS and Email Services, and limits on the number of short links or custom domains generated. Routeon may throttle, pause, or reject traffic and requests that exceed these limits. The Client may request a limit increase by contacting support@routeon.io, which Routeon may approve or deny based on the Client’s traffic quality, account history, and compliance with the AUP.

7. Scope of Services

7.1. SMS Services Module: Where the Client subscribes to SMS Services, Routeon provides transit routes and messaging infrastructure to enable the transmission of Bulk SMS submitted by or on behalf of the Client. Routeon acts strictly as a transit provider; the Client determines the content, Sender IDs, and intended Recipients.

7.2. Shortlink & Analytics Services Module: Where the Client subscribes to Shortlink & Analytics Services, Routeon grants a limited, non-exclusive, non-transferable right to access the Platform to create shortened URLs, custom-branded links, QR codes, configure Smart Routing, and view aggregated click analytics. Routeon acts strictly as a technical redirection host and intermediary.

7.3. Email Services Module: Where the Client subscribes to Email Services, Routeon provides email routing infrastructure, delivery interfaces, and technical transmission capabilities to enable the routing and dispatch of transactional and bulk email communications submitted by or on behalf of the Client. Routeon acts strictly as a technical transit provider and intermediary; the Client independently determines the email message content, subject headers, sending domain names, and Recipient contact lists, and remains solely responsible for configuring required domain authentication protocols (SPF, DKIM, DMARC) and verifying legal consent.

7.4. Upstream Carriers & Facilities: Routeon procures underlying messaging capacity, email relay infrastructure, and network facilities from third-party carriers, data centers, and upstream service providers. No direct contractual relationship is created between the Client and Routeon’s upstream infrastructure partners.

8. Prohibited Territories and Sanctions

8.1. The Client shall not transmit messages or deploy links targeting or originating from any Prohibited Territory or Sanctioned Person, nor use the Services to evade Sanctions.

8.2. Routeon may block, reroute, or disable links or traffic to ensure compliance with Sanctions and international regulatory standards.

8.3. Anti-Bribery and Corruption: The Client shall comply with all applicable anti-bribery and anti-corruption laws, including the UK Bribery Act 2010, to the extent it applies to the Client’s activities by reason of its extraterritorial effect, and shall not offer, promise, give, request, or accept any bribe or improper advantage in connection with this Agreement.

9. Complaints, Investigations and Information Disclosure

9.1. Handling Complaints & Inquiries: If Routeon receives any complaint, inquiry, copyright takedown notice, regulatory inquiry, or carrier request regarding SMS traffic, spam, phishing links, malicious redirection, or alleged violations, Routeon reserves the right to immediately investigate the matter.

9.2. Immediate Blocking and Takedown: Routeon may immediately suspend or block the affected Client account, Sub-Account, Sender ID, or specific Shortened URL/Destination URL without prior notice or liability.

9.3. Disclosure of Information: The Client explicitly acknowledges and agrees that Routeon may disclose full information regarding the Client, its End Clients, traffic logs, destination URLs, content, and contact details to upstream carriers, domain registries, web hosts, Network Operators, or competent authorities investigating unlawful activities.

10. Reseller Obligations and Flow-Down Terms

10.1. The Client remains fully liable to Routeon for all acts, omissions, SMS traffic, links, and charges of its End Clients and Sub-Accounts.

10.2. The Client warrants that it enters into binding written agreements with its End Clients containing terms at least as protective as this Agreement.

11. Data Protection

11.1. Both parties shall comply with applicable data protection laws. 11.2. All detailed data processing conditions, technical and organizational security measures, sub-processor engagements, international data transfers, and data subject rights procedures are set forth in and governed by the Routeon Privacy Policy and Data Processing Agreement.

12. Term, Suspension and Termination

12.1. This Agreement commences upon Agreement Acceptance and remains in effect until terminated in accordance with its terms.

12.2. Routeon may suspend or terminate the Agreement or deactivate links/routes immediately if the Client breaches this Agreement, depletes its Balance, or engages in Fraud/phishing.

13. Limitation of Liability and Indemnity

13.1. Disclaimer: SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. ROUTEON DOES NOT WARRANT THAT LINK REDIRECTIONS OR MESSAGE TRANSMISSIONS WILL BE ERROR-FREE OR UNINTERRUPTED.

13.2. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROUTEON SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR SPECIAL DAMAGES. ROUTEON’S AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT FOR THE AFFECTED SERVICE IN THE MONTH GIVING RISE TO THE CLAIM.

13.3. Indemnity: The Client shall defend, indemnify, and hold harmless Routeon against any claims, damages, liabilities, or expenses arising from Client Content, Destination URLs, domain names, trademark infringement, or breach of Applicable Laws.

14. Dispute Resolution and General

14.1. Governing Law and Dispute Resolution: This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws principles. Disputes shall first be submitted to good-faith negotiations. Any dispute not resolved through negotiation within thirty (30) days of written notice shall be finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force at the time of commencement of the arbitration. The seat of arbitration shall be Hong Kong, the language of the arbitration shall be English, and the tribunal shall consist of a sole arbitrator.

14.2. Entire Agreement: This Agreement constitutes the complete understanding between the parties regarding the subject matter.
14.3. Confidentiality: Each party shall keep confidential all non-public information disclosed by the other party in connection with this Agreement and shall not disclose it to any third party except as required to perform this Agreement, as required by Applicable Laws, or with the disclosing party’s prior written consent.

14.4. Force Majeure: Neither party shall be liable for any failure or delay in performance under this Agreement resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network or telecommunications outages, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14.5. No Assignment: The Client shall not assign, transfer, or delegate any of its rights or obligations under this Agreement, whether by operation of law or otherwise, without Routeon’s prior written consent. Routeon may assign this Agreement without the Client’s consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its relevant assets.

14.6. No Waiver: No failure or delay by Routeon in exercising any right, power, or remedy under this Agreement shall operate as a waiver of that or any other right, power, or remedy, nor shall any single or partial exercise preclude any further exercise. All waivers by Routeon must be in writing to be effective.

SCHEDULE A: ACCEPTABLE USE POLICY (AUP)

1. Prohibited Content: Phishing, smishing, malware, illegal gambling, counterfeit goods, deceptive financial schemes, hate speech, child abuse material, or infringement of third-party rights.

2. Prohibited Link Practices: Cloaking or misleading redirects (redirecting to a different page than originally audited), open-redirect exploitation, automated URL pumping, or disguising destination domains to bypass security filters.

3. Enforcement: Routeon reserves the right to scan, block, or delete links and terminate accounts in breach of this policy.

4. Email Services, Domain Authentication & Anti-Spoofing Rules:

Where the Client (or any of its End Clients) utilizes Routeon Email Services, the Client agrees to comply with the following mandatory technical and operational standards:

(a) Mandatory Domain Authentication (SPF, DKIM, DMARC): The Client is strictly required to configure and maintain valid Sender Policy Framework (SPF), DomainKeys Identified Mail (DKIM), and Domain-based Message Authentication, Reporting, and Conformance (DMARC) records for all sending email domains used on the Platform. Routeon expressly disclaims any liability for message delays, rejections, or delivery to spam/junk folders resulting from the Client’s failure to properly configure domain authentication protocols.

(b) Strict Anti-Spoofing Prohibition: The Client shall not alter, forge, or obscure email headers, including the From:, Reply-To:, or envelope sender addresses. The use of third-party domains, commercial brand names, or registered trademarks without explicit, verifiable proof of domain ownership or written authority is strictly prohibited.

(c) Dedicated Infrastructure & Domain Reputation: The Client shall not attempt to use Routeon’s transmission nodes or infrastructure to disguise the true identity or reputation of its sending domains. Routeon reserves the right to immediately block or suspend any domain or account attempting to transmit unauthenticated or spoofed email traffic.

5. Anti-Spam, List Hygiene & Quality Thresholds:

(a) Direct Prohibition of Purchased or Third-Party Lists:

     The Client is strictly prohibited from sending SMS messages, emails, or communications to any contact database obtained, rented, purchased, scraped, harvested, or acquired from third parties. The Client warrants and guarantees that all Recipient data was collected directly by the Client (or its End Client) using valid, verifiable, and affirmative opt-in methods in full compliance with Applicable Laws.

(b) Mandatory Unsubscribe Mechanism:

      All promotional, commercial, or marketing communications transmitted via Email or SMS Services must include a clear, prominent, and functioning opt-out mechanism:

     Email Services: Every commercial email must contain a functional one-click unsubscribe link in the footer and support mandatory List-Unsubscribe headers.

    SMS Services: Every marketing SMS must include clear opt-out instructions (e.g., “Reply STOP” or an unsubscribe link).

    All opt-out requests must be processed immediately and automatically without fee or manual intervention.

(c) Strict Performance Thresholds (Complaint & Bounce Rates):

     To protect the reputation of Routeon’s routing nodes, IP addresses, sending domains, and carrier interconnections, the Client must maintain the following minimum quality metrics:

      Email Hard Bounce Rate: Must not exceed 3.0% of sent volume per campaign or domain.

   Email Spam Complaint Rate: Must not exceed 0.1% (1 complaint per 1,000 sent messages) per campaign or domain.

      SMS Complaint / Opt-Out Rate: Must not exceed 0.5% of transmitted messages.

(d) Enforcement & Automatic Suspension:

     If the Client’s traffic exceeds any of the performance thresholds specified in Section 2(c), Routeon reserves the right, at its sole discretion, to immediately throttle, pause, or suspend the Client’s sending domain, Sender ID, campaign, Sub-Account, or account without prior notice or refund of unused prepaid Balance.

SCHEDULE B: Shortlink & Analytics ServicesSPECIAL CONDITIONS

1. Custom Domains & Branded Links: If the Client connects custom domains or branded short domains to the Platform, the Client is solely responsible for procuring, maintaining, and renewing domain registrations and configuring proper DNS and SSL settings. Routeon disclaims liability for link failures caused by domain expiration or DNS misconfiguration.

2. Smart Routing Rules: The Client is solely responsible for configuring conditional redirection rules (e.g., by OS, country, device, or language). The Client warrants that all target Destination URLs in Smart Routing configurations comply fully with Schedule A (AUP).

3. Link Redirection Audit & Scraping: Routeon reserves the right to perform automated scanning, auditing, and web scraping of Destination URLs at any time to verify compliance with security standards and AUP rules.

4. Intellectual Property & Custom Aliases: The Client shall not create short-link backhalves/aliases or use custom domains that incorporate trademarks, trade names, or brand identifiers of third parties without legal authorization. Routeon will immediately disable links violating this restriction upon receipt of a copyright/trademark complaint.
